At Nucleation Capital (“we,” “our,” or “the Fund”), we respect your privacy and are committed to protecting the personal information you share with us. This Privacy Statement explains how we collect, use, and safeguard your information.

1. Information We Collect

We only collect personal information that you voluntarily provide to us through the following channels:

  • Newsletter Subscribers: If you sign up for our Nucleation Insights newsletters and updates, we collect your name and email address.

  • Direct Communications: If you contact us via email, our website, or in person, we collect the information necessary to respond to your inquiry (e.g., contact details and the content of your message).

  • Investors: If you invest in our Fund, our fund custodian collects your formal identification and financial accreditation information required for qualification to subscribe. If you qualify, they will then sometimes collect addition personal information to complete their "Know Your Customer" (KYC), and Anti-Money Laundering (AML) compliance requirements. This may include your tax ID, address, nationality and banking details. We do not have access to that information. We will contact you separately to collect your email address for our reporting purposes, if we haven't previously received that from you.

2. How We Use Your Information

We use your information strictly for the following purposes:

  • To provide the updates, reports and newsletters you have requested.

  • To manage our relationship with you and respond to your communications.

  • To administer your investment and fulfill our legal and fiduciary duties.

3. Sharing Your Information

We are not in the business of selling or trading any of our investor data. We never share your personal information with third-party marketers. If you get any request for confirmation of confidential data, like banking info, passwords or personal ID that appears to be from Nucleation Capital, it may be a spam pfishing attack. Please do not provide that without confirming with us first.

We only share your information with third parties in the following limited circumstances:

  • Fund Custodian: Information regarding you and your requests will be shared with Angellist, our fund custodian and Belltower, their financial partner but only to the extent necessary for them to provide the agreed on services to facilitate the management of your investment.

  • Investment Requirements: We may disclose information about you and your domicile if required to do so by the companies in which we are investing, by virtue of their need to obey export laws, regulation, or legal process for the protection of sensitive nuclear information (e.g., to the SEC, CFIUS or tax authorities).

  • Legal Requirements: We may disclose information if required to do so by law, regulation, or legal process.

4. Data Security

We implement industry-standard security measures to protect your information from unauthorized access, alteration, or disclosure. For investor data, our fund custodian utilizes industry-standard encrypted environments and restricted access protocols.

5. Your Choices

  • Unsubscribe: You may opt out of our newsletter at any time by clicking the "unsubscribe" link at the bottom of any email.

  • Access & Correction: You may contact us at any time to review or update the personal information we hold about you. Please do let us know if your email address changes.

6. Additional Disclosures for California Residents

This section applies specifically to California residents under the California Consumer Privacy Act (CCPA), as amended by the CPRA.

A. Categories of Information Collected

In the preceding 12 months, we have collected the following categories of personal information:

  • Identifiers: Name, email, and IP address (via cookies).

  • Sensitive Personal Information: For investors only, this includes Social Security numbers, driver’s licenses, and financial account details collected by our fund custodian.

  • Commercial Information: Records of investments made in our Fund.

B. Your Rights Under California Law

  • Right to Know/Access: You have the right to request a report of what personal information we have collected about you since January 1, 2022.

  • Right to Delete: You may request that we delete your personal information, subject to legal and regulatory retention requirements (such as SEC or tax records).

  • Right to Correct: You may request that we correct inaccurate personal information.

  • Right to Limit Use of Sensitive Personal Information: You have the right to direct us to use your sensitive information only for necessary business purposes (e.g., processing your investment). Note: We already limit use to these purposes.

  • Right to Opt-Out of Sale or Sharing: We do not "sell" or "share" (for cross-contextual advertising) your data.

C. No Discrimination

We will not discriminate against you for exercising any of your CCPA rights.

D. How to Exercise Your Rights

To submit a request, please email us at admin@nucleationcapitalc.com with the subject line "CCPA Request." We will verify your identity before processing the request.

California Venture Capital Diversity Reporting (SB 54 / SB 164)

Compliance with the Fair Investment Practices Law:

As a venture capital company with a nexus to California, Nucleation Capital is required by California law (Business and Professions Code § 22750 et seq.) to collect and report aggregated demographic information regarding the founding teams of our portfolio companies.

  • Collection Process: Following the closing of an investment, we will provide founding team members with a standardized survey to collect demographic data, including gender identity, race, ethnicity, disability status, LGBTQ+ identification, and veteran status.

  • Voluntary Participation: Providing this information is entirely voluntary. No adverse action will be taken against any founder or company should a founding team member choose not to participate or decline to provide any specific piece of information.

  • Anonymity and Aggregation: We collect and report this data in a manner that ensures it is anonymized and disassociated from individual founders. The data is submitted to the California Department of Financial Protection and Innovation (DFPI) only in an aggregated format (e.g., "X% of our capital was invested in companies with diverse founding teams").

  • Data Retention: In accordance with the law, we will maintain records of these surveys and reports for a minimum of five (5) years.
